Furthermore, Meredith chairman and CEO Stephen Lacy, who would lead the proposed new entity created under a Media General/Meredith merger, reiterates that the company’s board of directors still believes the agreed-upon merger agreement with Media General is in the best interest of Meredith and its shareholders. Even as negotiations with Nexstar begin, Media General’s board of directors continues to recommend following through with the Meredith acquisition under the terms established in September. Media General first announced an agreement to buy Meredith for $2.4 billion in September. Weeks later, Nexstar submitted an unsolicitied proposal to buy Media General, a deal that, if made, would jeopardize the yet-to-be completed Meredith takeover, an acquisition Nexstar described as “ill-conceived.” Media General’s board of directors reached two unanimous decisions, according to a company statement. The first was to formally reject Nexstar’s initial, $4.1 billion proposal, saying that it “significantly undervalues” the company. The second was to enter negotiations with Nexstar over the suitor’s non-binding, unsolicited proposal. Media General was granted a waiver by Meredith to pass on non-public information to Nexstar in evaluation of the deal, which Nexstar claimed would offer Media General greater value, both immediately and long-term. The cloud of uncertainty cast over Media General’s proposed purchase of Meredith Corp. grew a shade darker Monday, as Media General announced that it will officially open negotiations with its own proposed buyer, Nexstar Broadcasting Group. “We are surprised that Media General’s Board considers the value of our proposal to be inadequate today,” said Perry Sook, chairman, president and CEO of Nexstar, in a statement. “However, we are willing to engage with them to hear their perspectives.” Meredith released a statement of its own in response to the announcement, saying, “Meredith understands Media General Board’s fiduciary responsibility to respond to the Nexstar proposal consistent with our binding merger agreement announced on September 8, 2015. However, Meredith still remains confident that the combination of Meredith and Media General will generate superior shareholder value … as compared to a potential Nexstar transaction.”

Last we heard, BMW isn’t planning to offer the longroof 3 Series in the United States anymore. And that’s a shame, since this one looks to be a seriously nice package.Up front, the 3 Series Wagon — or Touring, as it’s known in BMW parlance — shares its fascia with the G20-generation 3 Series Sedan. Around back, the wagon’s taillights use a similar design to the sedan’s, and the angular rear glass kinks nicely into the overall shape of the hatch.Speaking of the hatch, all 3 Series Wagons come with an electronically operated tailgate, and you can set how far it opens in the car’s iDrive infotainment system. BMW says the luggage compartment is wider than before, with both a taller and wider loading aperture, making it easier to load cargo. The back seats have a standard 40:20:40 split, and can be folded flat. Maximum cargo capacity is 53 cubic feet, which is about the same as a compact SUV.Enlarge ImageInside, the Touring is the same as any other new 3 Series. BMW A total of seven engines will be offered in Europe. The gas-fed 330i and M340i xDrive variants that we get on the US-spec sedan carry over, and a third, less powerful 320i is also available. On the diesel front, buyers can select engines ranging from 150 to 265 horsepower in output — or more importantly, 320 to 580 pound-feet of torque. For folks who might tow, the base 320i Touring can pull 3,500 pounds, while all other versions can handle 4,000.For front passengers, the 3 Series Touring is identical to the 3 Series Sedan — the design, switchgear and multimedia systems all carry over unchanged. The most robust iDrive 7 setup features a 12.3-inch digital instrument cluster and 10.2-inch central screen, with BMW’s voice-controlled AI assistant on board.BMW says customers will be able to preorder the new 3 Series Touring this month, ahead of its official on-sale date in September. Again, it’s unclear if this shaggin’ wagon will ever be offered in the US, but for now, we’ll keep our fingers crossed. The so-called V2 version of the dockable Switch has quietly made its way into stores, and some people are even trading in their original hardware for the new model.The difference between the two versions of the modular Switch is a processor upgrade that promises improved battery life (newer processors are often more power efficient than their predecessors). The new V2 battery claim from Nintendo is 4.5 to 9 hours, vs. 2.5 to 6.5 hours for the first-gen hardware. Both V2 and V1 Switches in hand, I ran a battery test on each. For this comparison, I ran non-stop video via the Switch’s YouTube app, with screen brightness at 100% and auto-brightness and sleep timers turned off. Note that V1 Switch used here has some mileage on it, but has been used almost exclusively docked. (What can I say? By doing this, both Switch units can use the same account, but your saved game files are deleted from the original Switch when they get transferred to the new one. It’s also worth keeping track of which one is your primary Switch, which is an important designation Nintendo keeps track of. On your primary device, other user accounts on the same hardware can access your owned content. On a secondary device, only you can. If you’re convinced the Switch V2 is for you, just don’t go out and accidentally buy some old stock that’s still sitting on a store shelf. The only way I could find to tell the hardware apart is the model number stamped on the back. The original reads “HAC-001,” while V2 is “HAC-001 (-01).” But there’s also an easier way to tell the difference — the V2 Switch comes in a box with a red background on its front panel. But even if you just bought a V1 Switch, there’s hope, as Nintendo will swap out an original Switch purchased after July 17 for a new V2 model if you contact the company.
